Terms of Service

You must be at least the age of majority in your province (generally 18+ in Quebec) and have the legal capacity to enter a contract. To register for a Klips account, you must provide your name, email, and a password, or authenticate via a supported third-party login. You are solely responsible for keeping your login credentials confidential. You agree to provide accurate, up-to-date information about yourself. You are responsible for all activity under your account. If you believe your account or credentials have been used without permission, you must notify Klips immediately.

Subject to these Terms, Klips grants you a limited, non-exclusive, non-transferable license to access and use the Service solely for your personal or internal business purposes. You agree not to: • Copy, modify, or distribute the Service or its code • Reverse engineer or attempt to access hidden features • Circumvent any security or access controls • Use the Service to compete with Klips • Use the Service for any unlawful purpose You retain ownership of all content you create and upload (text, images, etc.), but you grant Klips permission to use, copy, distribute, and display that content solely to provide the Service. You are responsible for ensuring you have all necessary rights to use the content you publish. Klips does not claim ownership of your content.

The Service allows you to publish content to your TikTok, Instagram, and YouTube accounts via their APIs. You must have valid accounts on those platforms and authorize Klips via OAuth to post on your behalf. Klips's ability to function depends on those external services. If a social network changes its API or access policies (for example, restricting certain features), Klips may lose functionality. If a network stops providing features to Klips, we may disable that integration without liability. You acknowledge that use of these third-party platforms is at your own risk.

By using our YouTube integration: • You agree to be bound by YouTube's Terms of Service (https://www.youtube.com/t/terms) • You acknowledge that your use of YouTube features through Klips is subject to Google's Privacy Policy (https://policies.google.com/privacy) • You must comply with YouTube's Community Guidelines when publishing content • Klips's use of YouTube API Services is subject to the Google API Services User Data Policy • You can revoke Klips's access to your YouTube account at any time through Google Security Settings • Klips reserves the right to modify or discontinue YouTube features based on changes to YouTube's API policies

When using our TikTok integration: • You must comply with TikTok's Terms of Service and Community Guidelines • Your use of TikTok features through Klips is subject to TikTok's Platform Terms • You are responsible for ensuring your content meets TikTok's content policies • Klips may modify or discontinue TikTok features based on TikTok's API requirements • You agree to TikTok's data collection and usage practices as described in their Privacy Policy • You can revoke Klips's access to your TikTok account at any time through TikTok settings

For Instagram integration through Meta's API: • You must comply with Instagram's Terms of Use and Community Guidelines • Your use of Instagram features is subject to Meta's Platform Terms • You are responsible for ensuring your content meets Instagram's content policies • Klips may modify or discontinue Instagram features based on Meta's API requirements • You agree to Instagram's data practices as described in their Data Policy • You can revoke Klips's access through your Instagram or Facebook settings • Any content published must comply with Meta's Advertising Policies if promotional in nature

You agree to use Klips in compliance with all applicable laws and these Terms. You must not use Klips to publish any content that is unlawful, defamatory, libelous, threatening, obscene, or otherwise objectionable. Content must not infringe any third party's intellectual property or privacy rights. Klips reserves the right to remove or refuse any content that violates these rules or is otherwise harmful. If you violate the Terms or applicable law, we may suspend or terminate your access and remove your content.

Klips may integrate with or link to third-party services, websites, or content (such as social media platforms and apps). These are not controlled by Klips, and we are not responsible for their availability or content. Any purchases, interactions, or data exchanges with such third parties are solely between you and that third party. We disclaim any liability arising from your use of third-party services.

Klips may suspend or terminate your account and access to the Service at any time, with or without cause, including if we believe you have violated these Terms. Upon termination, your right to use the Service immediately ends and you must stop all use. Klips may delete any associated data or content in accordance with our data retention policies. You may also delete your Klips account at any time through the account settings or by contacting support; upon deletion, we will remove your personal data as required by law.

THE KLIPS SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND. Klips DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Klips does not warrant that the Service will be uninterrupted, error-free, or secure.

TO THE FULLEST EXTENT PERMITTED BY LAW, Klips (and its officers, directors, employees, and affiliates) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE. Our total liability for any claim related to the Service is limited to the amount of fees you have paid to Klips in the 12 months preceding the claim. Some jurisdictions do not allow certain limitations, so the above may not apply to you.

You agree to indemnify, defend, and hold harmless Klips and its affiliates from any claims, liabilities, damages, and expenses (including legal fees) arising from your violation of these Terms or your use of Klips (including any content you publish). This includes claims that your content violates third-party rights.

These Terms are governed by the laws of the Province of Quebec and the laws of Canada applicable therein. Any disputes arising from these Terms must be resolved in the provincial or federal courts located in Montreal, Quebec, and you consent to exclusive jurisdiction there.

We may modify these Terms from time to time. If changes are material, we will notify you (for example, via email or a notice on our website) before the new terms take effect. Continued use of the Service after such notice will constitute acceptance of the updated Terms.
